Terms of Service
Last updated: July 2026
These Terms of Service (the "Terms") are a binding agreement between you and SabaothCloud ("SabaothCloud", "we", "us", or "our"). They govern your access to and use of the SabaothCloud website, dashboard, APIs, managed PostgreSQL databases, compute services, and related products (collectively, the "Services").
By creating an account, clicking to accept these Terms, or using the Services, you agree to them. If you are using the Services for an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.
1. Eligibility and account registration
You must be legally able to enter into a contract to use the Services. You must provide accurate, current information when registering and keep it up to date. One person may not create accounts for abusive, fraudulent, or deceptive purposes.
You are responsible for safeguarding your password, API keys, and other credentials, and for all activity under your account. Notify us promptly at support@sabaothcloud.com if you suspect unauthorized access. We may require account verification and may refuse, suspend, or close an account where we reasonably believe these Terms or applicable law has been violated.
2. The Services
The Services provide managed cloud infrastructure and related tools. Features, limits, regions, dependencies, and technical requirements may vary by plan. We may improve, modify, or discontinue a feature, provided that we will use reasonable efforts to give advance notice of material changes where practicable.
Unless a written order or service-level commitment says otherwise, the Services are provided on an availability basis and do not include a guarantee of uninterrupted or error-free operation. You are responsible for selecting an appropriate plan and configuring your applications, access controls, backups, and recovery procedures.
3. Customer data and security
You retain ownership of data, code, files, databases, and other material that you submit to or store through the Services ("Customer Data"). You grant us a limited, non-exclusive right to host, copy, transmit, and process Customer Data only as needed to provide, secure, support, and improve the Services, or as required by law.
You are responsible for the legality, accuracy, and integrity of Customer Data and for obtaining all permissions needed for us to process it. You must not use the Services to store payment-card data, highly sensitive personal information, or regulated data unless we have expressly agreed to the required terms in writing. Our Privacy Policy and, where applicable, our Data Processing Agreement form part of the agreement governing personal data.
We maintain reasonable administrative, technical, and organizational safeguards, but no online service is completely secure. You should maintain independent backups of important Customer Data. We may access or disclose Customer Data when reasonably necessary to provide the Services, investigate abuse, protect users, or comply with legal process.
4. Acceptable use
You may not use the Services to:
- break the law, infringe another person's rights, or facilitate fraud or abuse;
- introduce malware, exploit vulnerabilities, or interfere with the Services or another customer's environment;
- probe, scan, or test systems without authorization, or bypass usage limits or security controls;
- send spam, conduct phishing, distribute unlawful or harmful content, or operate an abusive proxy;
- mine cryptocurrency, run disproportionate workloads, or consume resources in a way that threatens service stability; or
- resell or provide access to the Services as a separate service unless we have authorized it in writing.
We may investigate suspected violations and may limit, suspend, or remove activity that threatens the Services, our users, or third parties. Where practical, we will provide notice and an opportunity to remedy the issue.
5. Plans, fees, and payment
Paid plans are billed in advance on the interval shown at checkout. You authorize SabaothCloud and its payment providers, including Paystack, to charge the payment method associated with your account for recurring fees, taxes, and other amounts you owe. Prices and included usage are shown on the applicable pricing page or order confirmation.
You are responsible for keeping payment details current and for all applicable taxes, duties, and bank charges. If a payment fails or an amount is overdue, we may retry the charge, restrict paid features, or suspend the account after reasonable notice. Unless required by law or expressly stated otherwise, fees are non-refundable. We may change pricing for a future billing period with advance notice.
6. Intellectual property
SabaothCloud and its licensors own the Services, including the software, interfaces, branding, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use them during your active subscription in accordance with these Terms. No rights are granted by implication.
You may provide feedback about the Services. You grant us permission to use that feedback without restriction or compensation, provided we do not identify you publicly without your consent.
7. Third-party services
The Services may integrate with third-party providers, including payment, hosting, identity, and developer tools. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services or for loss caused by their availability, security, or acts.
8. Confidentiality
Each party may receive non-public information from the other that is reasonably understood to be confidential. The receiving party will use reasonable care to protect it, use it only for the agreement, and disclose it only to people who need to know and are bound by confidentiality duties. These obligations do not apply to information that is public, independently developed, rightfully received from another source, or required to be disclosed by law.
9. Suspension and termination
You may stop using the Services or cancel a subscription through the available account controls. We may suspend or terminate access for a material breach, non-payment, security risk, unlawful activity, or where continued operation would expose us or others to harm. We may also discontinue the Services with reasonable notice.
On termination, your right to use the Services ends. We may delete account data after a reasonable retrieval period, subject to our legal obligations, backup cycles, and applicable data-processing terms. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, and dispute terms.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements, be available at a particular time or location, or be free of defects or harmful code.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. SabaothCloud's total liability arising out of or relating to the Services will not exceed the greater of the fees you paid to us for the Services in the three months before the event giving rise to the claim or USD 100.
These exclusions do not limit liability that cannot legally be limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable law prohibits the limitation.
12. Indemnification
You will defend and indemnify SabaothCloud and its personnel against third-party claims, losses, and reasonable costs arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law or another person's rights. We will give you prompt notice and reasonable cooperation, and you may control the defense provided you do not settle a claim in a way that admits fault or imposes obligations on us without our consent.
13. Changes to these Terms
We may update these Terms from time to time. For material changes, we will provide reasonable notice by posting the revised Terms, updating the date above, or notifying you through the Services or by email. The updated Terms take effect on the stated effective date. Your continued use after that date means you accept the changes.
14. General terms
Neither party may assign this agreement without the other party's prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets. If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. These Terms, together with incorporated policies and written orders, are the entire agreement about the Services and supersede prior agreements on that subject. Neither party is liable for delay caused by events beyond its reasonable control.
15. Governing law and disputes
The parties will first try in good faith to resolve any dispute by contacting the other party and allowing at least 30 days for discussion. If a dispute cannot be resolved, it will be handled by the courts or other dispute forum with jurisdiction under the applicable law. Nothing in these Terms prevents either party from seeking urgent injunctive or protective relief.
